Terms and Conditions
McKee & Ruhs GbR, last updated: 23 September 2026
Preamble
McKee & Ruhs GbR supports entrepreneurs in building and developing their businesses. The core of the service is the creation and setup of concrete work results: offer, positioning and pricing, landing pages and funnels, email sequences, CRM, payment integration, automations and the technical infrastructure that goes with them.
The accompanying sessions on strategy, mindset and personal development take place live, at scheduled times. Recordings of those sessions are provided as a secondary aid for review. There's no pre-produced course program, no module library, no assignments to submit and no assessment of learning progress.
These services are expressly not therapeutic, medical or diagnostic, and not legal, tax or investment advice.
1. Scope
1.1 These terms apply to all contracts, services and offers concluded via the websites winfriedruhs.com, aviannamckee.com, me.academy or otherwise with McKee & Ruhs GbR (the "Provider").
1.2 Deviating terms of the client aren't recognised unless the Provider expressly agrees to them in text form.
2. Contracting party

3. Services
3.1 The exact scope follows from the individual agreement recorded in text form before the contract is concluded. Descriptions on the websites are non-binding and don't constitute an offer.
3.2 The subject of the contract is the provision of work and services as described above, not the imparting of knowledge or skills within a course of instruction. Where the client gains knowledge about the systems built for her in the course of the collaboration, that's a consequence of the work and not its purpose.
3.3 The Provider performs services personally or through carefully selected third parties.
3.4 The Provider owes diligent effort, not commercial success. Statements about possible outcomes are non-binding experience, not a guarantee.
3.5 The blueprint is a separate service, paid in advance: a call of forty-five minutes and a written document produced from it. It's booked through the booking page. The blueprint obliges neither side to any further collaboration.
4. Conclusion of contract
4.1 A call with the Provider is available only as part of the paid blueprint under section 3.5. There's no free introductory call and no application process.
4.2 The contract is concluded when the Provider accepts the client's offer in text form or begins performing.
4.3 After conclusion, the client receives confirmation of the agreed scope.
4.4 For the blueprint, the contract is concluded by booking and paying through the booking page. Sections 4.2 and 4.3 apply to any collaboration beyond it.
5. Prices and payment
5.1 The individually agreed prices apply. Unless stated otherwise, they're exclusive of statutory VAT.
5.2 Invoices are due without deduction within 14 days of receipt unless agreed otherwise.
5.3 Where instalments are agreed and the client is in arrears with two consecutive payments, the Provider first sends a reminder in text form and sets a further period of 14 days. If that passes without payment, the Provider may call in the remaining instalments of the current contract period. At the client's request the parties agree a deferral or an adjusted instalment plan beforehand; the Provider won't refuse such a conversation.
5.4 External costs such as software subscriptions, advertising budgets, license or transaction fees are borne by the client unless expressly agreed otherwise.
6. Right of withdrawal for consumers
6.1 A right of withdrawal exists only if the client is a consumer within the meaning of section 13 of the German Civil Code, that is, if the contract predominantly serves private purposes. The Provider's services are aimed at entrepreneurs; in that case there's no statutory right of withdrawal.
6.2 Where a right of withdrawal applies: the client may withdraw within 14 days of conclusion without giving reasons. A clear declaration in text form to the address above is sufficient.
6.3 The right lapses early once the Provider has fully performed the service, provided the client expressly consented to early commencement and acknowledged losing the right of withdrawal thereby.
6.4 If performance began before the deadline at the client's request, the client owes reasonable compensation for what has been performed.
6.5 Before booking the blueprint, the client expressly declares that the Provider shall begin performance before any withdrawal period expires, and acknowledges that she loses her right of withdrawal upon full performance. Without that declaration the booking window isn't unlocked.
7. Appointments and cooperation
7.1 Agreed appointments are binding. Cancellations or rescheduling are possible in text form up to 48 hours in advance, after that only within what's reasonable.
7.2 In the event of shorter notice or non-attendance, the appointment counts as performed as a rule. Once per contract year the Provider offers a replacement without requiring a reason; beyond that, in hardship cases at reasonable discretion.
7.3 Services require the client's cooperation, in particular the timely provision of content, access and decisions. Delays on that side shift agreed timelines accordingly.
8. Rights in work results
8.1 Upon full payment, the client receives an unlimited, transferable right of use, unrestricted in time, territory and content, in all work results created for her, in particular copy, landing pages, funnels, email sequences and configurations.
8.2 Access to third-party services (domain, hosting, CRM, payment providers) is set up in or handed over to the client's own accounts.
8.3 In the Provider's general templates, methods and checklists, the client receives a simple, non-transferable right of use for her own purposes. Sharing, publication or reproduction isn't permitted. The same applies to recordings of sessions.
8.4 The Provider may name the collaboration and show work results as a reference unless the client objects in text form.
9. Confidentiality
9.1 Both parties treat all information disclosed during the collaboration as confidential. This obligation survives the end of the collaboration.
9.2 Sessions are recorded only with prior consent.
10. Liability
10.1 The Provider is liable without limitation for intent and gross negligence, and for injury to life, body or health.
10.2 For simple negligence, the Provider is liable only for breach of a material contractual duty whose fulfilment makes proper performance possible in the first place and on whose observance the client may regularly rely. In such cases liability is limited to foreseeable damage typical of the contract.
10.3 Liability for lost profit or absent commercial success is excluded.
10.4 The Provider isn't liable for disruptions at third-party services (hosting, payment providers, advertising platforms, AI providers).
10.5 Liability under the German Product Liability Act remains unaffected.
11. Term and termination
11.1 The collaboration ends upon delivery of the agreed services or at the agreed time.
11.2 The right to extraordinary termination for good cause remains unaffected for both parties.
11.3 The agreed term remains owed even if the client ends the collaboration early of her own accord: the service is designed for twelve months and the Provider's work comes first. The client keeps every work result produced up to that point and may continue paying the agreed instalments rather than settling the balance at once. Parts of the service that haven't been started are dropped and not charged.

13. Final provisions
13.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers this applies only insofar as it doesn't restrict mandatory protective provisions of their country of habitual residence.
13.2 If the client is an entrepreneur, the place of jurisdiction is Augsburg, Germany.
13.3 The contract language is German or English, as agreed.
13.4 The European Commission provides a platform for online dispute resolution: ec.europa.eu/consumers/odr. We're neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
13.5 Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
